SEC Warns Investors Against Fraudulent Platforms as Dangote Refinery IPO Opens Nationwide
Lagos, Nigeria—September 14, 2026—The Securities and Exchange Commission (SEC) on Monday issued a strong public warning against unofficial and fraudulent platforms as the highly anticipated Initial Public Offering (IPO) of Dangote Petroleum Refinery and Petrochemicals FZE officially opened for subscription.
The landmark offer, widely described as a “people’s IPO,” places 4.1 billion new ordinary shares on the market at ₦525 per share.
With a minimum subscription of just 10 shares valued at ₦5,250, the transaction is designed to allow retail investors, institutional players, and eligible African participants to own a stake in Africa’s largest refinery.
If fully subscribed, the IPO is expected to raise approximately ₦2.15 trillion (about $1.6 billion), potentially rising to around $2.1 billion should the company exercise its greenshoe option.
The proceeds will support the refinery’s long-term growth plans, operational expansion, and strategic investments.
SEC’s Clear Message to Investors
As subscription windows opened, the SEC moved quickly to protect the public. The Commission urged investors to ignore any unauthorized platforms, agents, or digital channels soliciting funds or promising preferential allocations.
“Obtain information about the IPO only from the SEC official channels, the Issuer’s official channels, and other official channels established and approved for the IPO,” the regulator stated.
It further advised investors to verify the authenticity of websites and platforms before sharing personal or financial details and to avoid unsolicited calls, WhatsApp messages, social media adverts, or emails guaranteeing allotments.
Eligible investors are directed to subscribe strictly through approved distribution channels, including NGX Invest, designated commercial banks, and authorized investment platforms, in line with the terms outlined in the official prospectus. The offer remains open until October 13, 2026.
A Historic Opportunity for Ordinary Nigerians
The IPO marks the first time the public can own shares in the Dangote Refinery, one of the world’s most significant industrial projects and a major driver of Nigeria’s shift from fuel importer to exporter.
Aliko Dangote has repeatedly framed the offer as an exercise in democratising wealth creation rather than a pure capital-raising exercise, expressing a desire for millions of everyday Africans—from traders and drivers to professionals—to participate in the refinery’s success.
Early indications pointed to strong retail interest, with reports of billions of naira subscribed within the first hour of the offer’s opening.
The company has also indicated plans for a possible secondary listing on a United States exchange within three to four years.

While the offer has generated significant excitement across the capital market, the SEC’s warning serves as a timely reminder of the risks posed by fraudsters seeking to exploit public enthusiasm.
Investors are encouraged to rely solely on verified official sources and to follow the published subscription process and timetable carefully.
The Dangote Refinery IPO stands as one of the largest equity offerings ever undertaken in Africa.
Its success will not only test the depth of Nigeria’s capital market but also determine how widely the economic benefits of the continent’s biggest refining project are shared among ordinary citizens.
